British AI neocloud Nscale announced on Friday that it has secured $3.36 billion in convertible financing as it prepares for a US initial public offering later this year.
Financing structure and timing
The funding is structured as a convertible note led by hedge fund Third Point. According to the company announcement, $2.36 billion will be available immediately and an additional $1 billion from existing investor Nvidia will be provided in mid-November. Nscale said the notes will convert into equity shares once the IPO is completed.
IPO filings and reported valuation
Nscale filed IPO paperwork last week. The Financial Times reported that the company is expected to be valued at $35 billion on the NYSE, while Bloomberg reported the offering is seeking to raise $3 billion. The company’s IPO filing states it has accumulated more than $103 billion in contracts since it was spun out of Arkon Energy two years ago.
The company is building several large data center campuses, including projects in Norway and West Virginia. The financing comes as Nscale expands its infrastructure ahead of the market debut.
The convertible notes convert to equity upon completion of the IPO, and the $1 billion tranche from Nvidia is scheduled for mid-November. The company has positioned the new capital to support its ongoing data center developments and the planned NYSE listing, with specific proceeds and allocation outlined in the IPO filing and investor materials.
