Agreement Analyzer Launch
On October 15, 2026, Sullivan & Cromwell introduced Agreement Analyzer, an AI tool developed in collaboration with OpenAI. This innovative tool is designed to assist lawyers in identifying issues within draft agreements and generating proposed edits.
Functionality and Development
Initially created by partner John Savva as a single-user proof of concept using Codex, Agreement Analyzer has since evolved through collaboration with OpenAI. Enhancements include improved output quality, the addition of parallel processing for greater efficiency, and scalability for multiple users. The tool integrates the firm’s workflows, curated precedents, negotiating playbooks, and ChatGPT Enterprise.
Review Process
Lawyers can upload a draft agreement into Agreement Analyzer, allowing them to incorporate selected precedents and a playbook that reflects both firm and client positions, as well as market practice information. The tool conducts multiple review cycles from various perspectives, synthesizes the results, identifies potential issues, and generates a memorandum along with proposed tracked changes for the lawyer to review, adapt, or reject.
Transparency and Trust
John Savva emphasizes the importance of transparency in AI outputs, stating, “If an AI tool makes a claim about market practice, you need to be able to see the source of that information.” The application is designed to clarify which findings are supported by precedents, which are dismissed after challenge, and which remain unverified with qualifications.
Advanced Analytical Capabilities
In a potential use case, specialized agents can review agreements in parallel, examining aspects such as market deviations, risk allocation, clause interactions, and ambiguities that may impact litigation. Lawyers can inspect each issue, its supporting explanation, and the relevant precedents before making final markups. Savva notes that advancements in model reasoning, particularly with GPT‑6 Astra, have improved the quality of reasoning available, addressing previous bottlenecks in the process.
Future Developments
Sullivan & Cromwell continues to explore the development of tools tailored to specific legal tasks. The firm anticipates that enhanced analytical capabilities will further support the research and writing processes within legal practice.
