OpenAI has informed SpaceX that it will terminate the agreement that supplies OpenAI models to the Cursor platform, with a proposed shutoff date of November 12, 2026. The company said it provided the maximum contractual notice allowed to give developers time to transition.
Reason for the decision
OpenAI attributed the move to concerns that SpaceX may not use its technology in accordance with OpenAI’s terms of service. The company cited past instances in which Elon Musk’s companies allegedly breached contracts, and it said those experiences limit confidence in compliance without bespoke safeguards.
According to OpenAI, after Musk’s acquisition of Twitter—now part of SpaceX—the company breached the terms of an OpenAI contract alongside others. OpenAI also said that, under oath earlier this year, Musk acknowledged that xAI, which is now part of SpaceX, had violated OpenAI’s terms of service. Those statements, OpenAI said, informed its assessment.
Contractual steps and model access
OpenAI said it typically uses custom agreements with large partners to ensure compliance and safety at scale. The company noted that its contract with Cursor includes a limited window to cancel after a change of control, and it plans to hold cancellation until the latest date permitted while explicitly stating it will not provide future models to Cursor.
OpenAI also referenced accountability obligations tied to its upcoming model, Astra, as a factor in the decision.
The company said it has worked with Cursor for nearly four years and expressed respect for the Cursor team and product. OpenAI acknowledged that developers who use OpenAI models through Cursor will be most affected and stated it is prepared to support them during the transition.
